The Company Secretary is an officer of the Company. He has wide powers and heavy responsibilities assisting the board of directors advising on matters relating to the Companies Act, including the changes in share capital structure, compliance with laws, rules and regulations, keeping of minute books, etc.

He also has a duty to inform the directors and shareholders what they can do and the limitation as imposed by the Companies Act.

Very often, he helps the directors to incorporate new companies, sit on board of board meetings and shareholders meetings, draft resolutions and keep proper minute of meetings.
