Who are disqualified to act as company secretary?

Under Section 139C(1) of CA, the following persons are disqualified from acting as secretary:

 

·         an undischarged bankrupt; or

·         a convict guilty of an offence relating to:

(a)  the promotion, formation or management of a corporation;

(b)  fraud or dishonesty; or

(c)  improper use of information, dealings in securities and maintenance of proper accounts.

 

A person who continues acting as a secretary after disqualification is guilty of an offence. Under Section 139C(3) of CA, a director who knowingly permits such a person to do so is also guilty of an offence.
